1. Introduction and Acceptance
These Terms of Service (“Terms”) govern your use of the UrbanRyde mobile application and associated services (collectively, the “Service”) operated by UrbanRyde (“we,” “us,” or “our”).
By creating an account, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.
These Terms are governed by the laws of the Federal Republic of Nigeria, including the Consumer Protection Council Act, the Federal Competition and Consumer Protection Act (FCCPA) 2018, and applicable Central Bank of Nigeria (CBN) regulations.
2. The UrbanRyde Platform
UrbanRyde is a technology platform that connects passengers seeking transportation with independent riders who provide it. We are a technology intermediary — we do not ourselves provide transportation services. Riders are independent contractors and are not employees, agents, or representatives of UrbanRyde.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Accounts and Registration
3.1 Eligibility
You must be at least 18 years old to use UrbanRyde.
3.2 Account Accuracy
You must provide accurate and complete information when registering. You are responsible for keeping your account information up to date.
3.3 Account Security
You are responsible for all activity that occurs under your account. Do not share your login credentials with anyone. If you suspect unauthorised access, contact us immediately at support@urbanrydeapp.com.
3.4 One Account Per Person
You may only create one account. Creating multiple accounts to circumvent a suspension or restriction is prohibited and will result in permanent termination.
4. Ride Booking — Passenger Responsibilities
By requesting a ride, you agree that:
- You will be present at the designated pickup location at the agreed time
- You will confirm the rider’s identity before entering the vehicle
- You will provide the pickup OTP to the rider to start the trip and the completion OTP at the end to confirm arrival
- You will treat riders with respect and will not engage in threatening, abusive, or discriminatory behaviour
- You will not request rides for illegal purposes
- You are responsible for any damage you cause to a rider’s vehicle
- Cancellations after a rider has accepted your request and is travelling to you may result in a cancellation fee
4.1 Fare and Payment
Fares are calculated based on distance, duration, and vehicle type. Base fares by vehicle type:
- Bike: ₦200 base + ₦50/km + ₦5/min
- Tricycle: ₦300 base + ₦70/km + ₦8/min
- Economy: ₦500 base + ₦120/km + ₦15/min
- Premium: ₦1,000 base + ₦200/km + ₦25/min
Surge pricing (up to 1.5× standard rates) may apply during peak hours (7–9am and 5–7pm). You will always see the estimated fare before confirming a booking.
4.2 Wallet Top-Up
You may add funds to your UrbanRyde wallet via Paystack. The minimum top-up is ₦100 and the maximum is ₦1,000,000 per transaction. Funds held in your wallet are not interest-bearing.
5. Becoming a Rider — Rider Responsibilities
To become a rider on UrbanRyde, you must:
- Be at least 18 years old
- Submit a complete rider application including vehicle details and all required documents
- Hold a valid Nigerian driver’s licence
- Provide a valid National Identification Number (NIN)
- Provide vehicle photographs and insurance documentation
- Complete identity verification including a live selfie
- Set up a verified Nigerian bank account for earnings payouts
- Be approved by UrbanRyde before accepting trips
5.1 Rider Conduct
As a rider, you agree to:
- Maintain your vehicle in a safe and roadworthy condition
- Only accept trips when you are fit and alert to drive
- Verify the passenger’s identity before starting a trip using the pickup OTP
- Follow all applicable Nigerian traffic laws
- Treat passengers with respect and professionalism
- Verify the completion OTP at the end of each trip to confirm delivery
- Go offline when you are not available to accept trips
5.2 Rider Earnings and Commission
When you complete a ride, your earnings equal the trip fare minus UrbanRyde’s platform commission of 10%(subject to change with 14 days’ notice). Earnings are credited to your UrbanRyde wallet after each completed trip.
5.3 Withdrawal of Earnings
To withdraw your earnings:
- You must have set up a verified Nigerian bank account
- You must have configured a 4-digit withdrawal PIN
- Each withdrawal requires a 6-digit OTP delivered to your registered email and device
- Minimum withdrawal: ₦500. Maximum: ₦2,000,000 per request
- For security, withdrawal amounts are capped at ₦50,000 for 24 hours following any change to your bank account
- Withdrawals exceeding ₦200,000 may be subject to additional review before processing
- Withdrawals are processed via Paystack bank transfer
5.4 Independent Contractor Status
You are an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship between you and UrbanRyde. You are responsible for your own taxes, insurance, and compliance with applicable laws.
6. Prohibited Conduct
You must not:
- Use the Service for any unlawful purpose
- Impersonate another person or provide false information
- Manipulate the platform (e.g., fake trip completions, GPS spoofing)
- Harass, threaten, or discriminate against other users
- Use the Service while under the influence of alcohol or drugs (riders)
- Attempt to circumvent fare calculations or payment systems
- Create fraudulent accounts, top-ups, or withdrawal requests
- Share your login credentials or allow others to use your account
- Interfere with or disrupt the Service or its infrastructure
- Use automated tools, bots, or scripts to interact with the Service
7. Ratings and Reviews
Both passengers and riders are subject to ratings after each completed trip. UrbanRyde uses these ratings to maintain service quality. Consistently low ratings may result in account review or suspension. Ratings must reflect genuine experiences — attempts to manipulate ratings are prohibited.
8. Account Suspension and Termination
8.1 Suspension
We may suspend your account if we believe you have violated these Terms, engaged in fraudulent activity, received consistently low ratings, or pose a risk to other users. You will be notified of the suspension and the reason by push notification and email.
8.2 Termination
We may permanently terminate your account for serious or repeated violations. Upon termination, access to your UrbanRyde wallet will be suspended. Any outstanding wallet balance will be refunded to you via bank transfer after verification, subject to deduction of any amounts you owe us.
8.3 Appeals
If you believe a suspension or termination was made in error, contact support@urbanrydeapp.com within 14 days of the action.
8.4 Account Deletion by User
You may delete your account at any time from the app. Account deletion is processed over 30 days, during which time you may cancel the request. See our Privacy Policy for details of what data is retained after deletion.
9. Payments and Refunds
9.1 Escrow
When you book a ride, the estimated fare is held in escrow from your wallet. If the ride is cancelled by either party or no rider is found within 15 minutes, the full amount is automatically refunded to your wallet.
9.2 Refund Policy
Refunds are processed to your UrbanRyde wallet. You may request a withdrawal of wallet funds to a verified bank account after a refund has been credited.
9.3 Disputed Transactions
If you believe a charge is incorrect, contact support@urbanrydeapp.com within 7 days of the transaction. We will investigate and respond within 5 business days.
9.4 Failed Withdrawals
If a bank transfer fails after being initiated, the amount will be automatically reversed to your UrbanRyde wallet. You will be notified by push notification and email.
10. Location Services
Use of the Service requires access to your device’s location. You consent to:
- Your location being used to match you with nearby riders (passengers) or passengers (riders)
- Your real-time location being shared with your matched counterpart during an active trip only
- Your location data being stored as part of the trip record
11. Intellectual Property
All content, branding, logos, and software associated with UrbanRyde are owned by or licensed to us. You may not copy, reproduce, distribute, or create derivative works without our express written permission.
12. Disclaimer of Warranties
13. Limitation of Liability
Nothing in these Terms limits liability for fraud, personal injury caused by our negligence, or any liability that cannot be excluded under Nigerian law.
14. Indemnification
You agree to indemnify and hold harmless UrbanRyde, its officers, employees, and partners from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be addressed through our internal complaints process (support@urbanrydeapp.com). If unresolved within 30 days, disputes shall be submitted to arbitration in accordance with the Arbitration and Mediation Act 2023 of Nigeria, with proceedings in Lagos State.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
